These Terms & Conditions ("Terms") govern your use of the NeedHave platform (mobile app and website at needhave.in) operated by Codify Apps Private Limited ("we", "us", "Company"). By registering or using NeedHave, you agree to these Terms in full.
You must be at least 18 years old and using NeedHave for legitimate business purposes. NeedHave is a business-to-business (B2B) platform — it is not intended for personal, household, or consumer use. By registering, you confirm that you represent a business entity or are a sole trader.
You may use NeedHave to post trade listings (IHave) and trade requests (INeed), receive automated matches, exchange quotes with other businesses, and communicate through the platform. You agree not to:
NeedHave is a discovery and communication platform only. We are not a party to any trade transaction. All pricing, delivery terms, and payment arrangements are agreed directly between buyer and supplier entirely outside NeedHave.
Zero liability for fraud or disputes: NeedHave bears absolutely no liability for any fraud, misrepresentation, non-delivery, payment default, counterfeit goods, or any other dispute arising between buyers and suppliers — whether or not the initial contact was made through NeedHave. You trade entirely at your own risk. We do not verify the identity, creditworthiness, or legitimacy of any business on the platform. Performing your own due diligence before any transaction is your sole responsibility.
You retain ownership of the content you post (listings, descriptions, photos). By posting, you grant NeedHave a non-exclusive, royalty-free licence to display and process that content solely for the purpose of operating the platform. We will not use your business data for advertising or sell it to third parties.
We aim for high availability but do not guarantee uninterrupted access. We may suspend service for maintenance, updates, or if we detect abuse. We are not liable for losses arising from downtime.
Access to NeedHave may require an active plan. Plan details (pricing, duration, user limits) are agreed at the time of purchase. Plans are non-refundable once activated. We reserve the right to change plan pricing with 30 days' notice.
We may suspend or terminate your account without notice if you breach these Terms, engage in fraud, or your account is reported for abuse. You may delete your own account at any time via Profile → Delete Account. Upon deletion, all personal data is removed in accordance with our Privacy Policy.
NeedHave is provided "as is" and "as available". We do not warrant that the platform is error-free, that matches are accurate or exhaustive, or that any business you connect with is legitimate. You use the platform at your own risk.
To the maximum extent permitted by Indian law, Codify Apps Private Limited shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of NeedHave, including but not limited to lost profits, failed transactions, data loss, or any loss resulting from fraud by another user. Our total aggregate liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.
Specifically, and without limitation: we are not responsible for fraud perpetrated by any buyer, supplier, or third party you encounter on NeedHave; for goods not delivered or delivered in a different condition than described; for payments made outside the platform; for the accuracy of any listing, rating, or vouch shown on the platform; or for any financial loss of any kind arising from a transaction facilitated or introduced through NeedHave. By using NeedHave you expressly agree to hold Codify Apps Private Limited, its directors, employees, and agents harmless from all such claims.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of India. We encourage you to contact us first at [email protected] to resolve disputes informally.
We may update these Terms from time to time. Continued use of NeedHave after changes are published constitutes your acceptance of the revised Terms. We will notify you of significant changes via the app or WhatsApp.
